These Service Terms (the "Terms") apply when you download, install, evaluate or use ComOfficeKit: its binary frameworks and the fonts inside them, its documentation, its samples and its evaluation licence keys (together, the "SDK"). Doing any of these means you accept the Terms. If you accept them on behalf of a company or another organisation, you confirm that you are authorised to bind it, and "you" then means that organisation.
If you have a signed licence agreement or an accepted quotation with us, that agreement governs your licensed use, and these Terms apply only to matters it does not address.
These Terms are published at https://comofficekit.com/service-terms/ and, for each release, in that release's docs/service-terms.md.
1. Who you contract with
"We", "us" and "our" mean the company in the table below for the place where you are located. That company licenses the SDK to you, and the law in the same row governs these Terms.
| Where you are located | The company you contract with | Governing law |
|---|---|---|
| North, Central and South America | KDAN Mobile Software America Inc. | the State of California, United States |
| Japan | KDAN Japan Ltd. | Japan |
| The United Kingdom, the European Union and Southeast Asia | KDAN Singapore Pte Ltd. | Singapore |
| Taiwan | KDAN Mobile Software Ltd. | the Republic of China (Taiwan) |
| The People's Republic of China | PDF Technologies Ltd. | the People's Republic of China |
| Anywhere else | KDAN Mobile Software Ltd. | Singapore |
In each case the conflict-of-laws rules of that law do not apply.
2. How the SDK is licensed
The SDK is licensed, not sold. A licence for production use is granted only by a written licence agreement or an accepted quotation with our sales team, for the products, platforms, scope and term it names. Licences are delivered as signed licence keys that the SDK verifies on the device.
Nothing in these Terms grants a production licence or any right beyond the evaluation described in section 3.
You may copy and modify the source code in the SDK's Samples/ folder, and use it in your own applications, while you hold a valid licence or are evaluating under section 3.
3. Free evaluation
3.1 The evaluation key. Each release of the SDK publishes an evaluation licence key in its README and its release notes. The key unlocks the whole SDK for evaluation until the expiry date it carries, about 60 days after the release. A later release may publish a new key; each key ends on its own expiry date.
3.2 What evaluation allows. You may install the SDK and use it with the evaluation key to build and run prototypes, tests and the samples, to decide whether to obtain a licence.
3.3 What evaluation does not allow. Under an evaluation key you may not distribute, sell, license, provide or put into production any application, product or service that includes or depends on the SDK. This includes submitting such an application to an app store, such as the App Store or Google Play, and offering it to users as a service.
3.4 When evaluation ends. Your right to evaluate ends on the key's expiry date, or earlier if you breach these Terms. When it ends you must stop using the SDK unless you have obtained a licence; from the expiry date the SDK stops working until a licence key is applied.
3.5 Support during evaluation. We may answer questions sent to the support address in section 12 but are not obliged to. The SDK is provided for evaluation as described in section 8.
4. What you may not do
Except as your licence agreement expressly permits, you may not:
- (a) copy, sublicense, sell, rent, lend or redistribute the SDK, or any part of it, other than as part of an application you are licensed to distribute;
- (b) reverse engineer, decompile or disassemble the SDK, except to the extent that applicable law permits it despite this restriction;
- (c) remove, bypass or interfere with the licence check, or use a licence key that was not issued to you, other than the published evaluation key;
- (d) remove or alter a copyright, licence or attribution notice;
- (e) use the SDK in breach of applicable law, including export-control and sanctions law.
5. Ownership and feedback
The SDK, including its documentation and samples, belongs to us or our licensors and is protected by copyright and other intellectual-property law. All rights not expressly granted are reserved. If you send us feedback or suggestions, we may use them without any obligation to you.
6. Third-party components
The fonts inside AppleRender.framework are the Carlito font family, distributed under the SIL Open Font License 1.1, and the Caladea font family, distributed under the Apache License 2.0. Their notices are in Fonts/LICENSE.md inside AppleRender.framework, and those licences, not these Terms, govern the fonts. The licence check inside DocumentCore.framework uses the Crypto++ library, distributed under the Boost Software License 1.0 (with CRYPTOGAMS code under a BSD-style licence), and RapidJSON, distributed under the MIT License. Their notices are in THIRD_PARTY_NOTICES.txt inside DocumentCore.framework, and those licences, not these Terms, govern them.
7. Your data
The SDK processes documents inside your application's process, on the device it runs on. It does not send documents, their contents, usage data or licence information to us or to anyone else, and it makes no network connections. Information you send us yourself, for example by email to obtain a licence or support, is handled under the privacy policy of the company in section 1.
8. No warranty
To the extent permitted by law, the SDK is provided under these Terms "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Warranties for licensed use, if any, are those in your licence agreement.
9. Limitation of liability
To the extent permitted by law, we are not liable under these Terms for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability arising from use of the SDK is limited to the amount of your licence agreement or accepted quotation with us for the SDK, that is, the fees paid or payable under it. For evaluation under section 3, for which no fees are paid, our liability is limited to the minimum that applicable law requires.
10. Changes and termination
We may update these Terms. The Terms published with a release of the SDK apply to that release, and the date at the top says when they last changed.
We may end your rights under these Terms if you breach them. When they end you must stop using the SDK and delete the copies you obtained under an evaluation key. Sections 4, 5, 8, 9 and 11 continue to apply after that.
11. Disputes and language
These Terms are governed by the law in section 1. Disputes are resolved exclusively by the competent courts of the jurisdiction whose law governs these Terms under section 1.
These Terms are written in English. A translation is provided for convenience only, and the English text prevails.
